Abstract

Corporate governance in multinational enterprises (MNEs) is critical for ensuring responsible management, transparency, and stakeholder accountability across jurisdictions. This chapter explores the frameworks, practices, and challenges faced by MNEs in aligning governance structures with international regulatory expectations, diverse stakeholder interests, and internal risk management policies. It emphasizes the increasing role of ethics, sustainability, and digital oversight in modern governance. Drawing on real-world examples and international codes such as OECD Principles and the UN Global Compact, the chapter analyzes how global enterprises mitigate corruption, ensure board accountability, and maintain regulatory compliance in complex legal environments. Special attention is given to risk governance in emerging markets and how cultural diversity influences corporate behavior. The chapter concludes with recommendations for enhancing corporate governance effectiveness and accountability across borders through integrated policies and transparent governance mechanisms.
